YBO Digital – Terms and Conditions of Service
1. Website Design & Development
YBO Digital provides bespoke website design and development services tailored to meet each client’s specific business objectives. Services cover a range of site types, including brochure websites, interactive platforms, and fully integrated eCommerce solutions using WordPress, WooCommerce, and associated technologies.
1.1 Scope of Services
The scope for each project will be documented in a formal quotation or proposal, and may include:
- Discovery and planning
- Custom UI design and responsive layout development
- WordPress CMS configuration and theme setup
- Integration of plugins, APIs, and third-party services (as specified)
- Basic on-page SEO setup (e.g., meta tags, image alt text, descriptive URLs)
- Standard security measures and speed optimisation
- Final quality assurance testing and delivery
Any functionality, content types, or third-party integrations not expressly detailed in the approved scope will be deemed out-of-scope and may require a separate change request and additional charges.
1.2 Client Responsibilities
To ensure the project progresses efficiently, the client agrees to:
- Provide all required content, images, branding assets, legal disclosures, and related materials by the dates outlined in the proposal or project schedule
- Appoint a single point of contact for communication, feedback, and approvals
- Confirm that all submitted content and assets are properly licensed or owned and do not infringe on third-party rights
- Respond to review and approval requests within 3 business days, unless otherwise agreed in writing
1.3 Revisions and Change Requests
- Each project includes up to two rounds of revisions during the design phase (e.g., mockups, wireframes)
- Revisions must fall within the original scope. Major changes—such as new layouts, sections, or structural adjustments—will incur additional fees
- Additional revision rounds are billed at the prevailing hourly rate and are subject to scheduling availability
1.4 Payment Terms
- A 50% deposit is required prior to commencement of any work
- The remaining 50% is due upon project completion, prior to launch or handover
- In larger or phased projects, milestone payments may be agreed upon and documented in the proposal
1.5 Timeline and Delays
- A project timeline will be included in the proposal. It is contingent on timely feedback, content delivery, and client responsiveness
- Delays in client input may result in a revision of delivery dates
- If the project becomes inactive for more than 14 consecutive days due to client non-responsiveness, YBO Digital reserves the right to pause and reschedule the work
1.6 Launch and Handover
- Upon receipt of full and final payment, the website will either be launched to the live domain or transferred to the client’s hosting environment
- The client will receive login credentials and any agreed supporting documentation or training material
- Post-launch support, updates, or content changes are not included unless covered under a separate maintenance or support agreement

2. Hosting
YBO Digital provides managed website hosting intended for business use. Hosting services are governed by the following terms and conditions:
2.1 Hosting Environment
- All websites are hosted on YBO Digital’s own dedicated server infrastructure located in a managed data centre.
- Shared hosting environments are not used. Each site is isolated within a virtual container with dedicated resources for performance and security purposes.
- Server infrastructure is actively monitored and maintained by YBO Digital.
2.2 Inclusions
The $14 monthly fee includes:
- Access to allocated server space for hosting a single WordPress website
- Use of licensed software:
- Divi theme license (for updates and builder functionality)
- WP Force SSL (HTTPS redirection)
- WP Rocket (installed with default configuration only)
- Rank Math SEO (free version installed only)
- Jetpack Protect (installed but not monitored)
- Operating system and server-level software updates
- Daily backups with a 14-day retention cycle
- SSL certificate installation and renewal
- Basic uptime monitoring
- Creation and maintenance of IMAP/POP3 email accounts under the hosted domain
2.3 Exclusions and Boundaries of Service
The following items are not included in the standard hosting plan and will only be addressed through a support ticket or separate maintenance agreement:
- Advanced caching configuration (JavaScript deferral, CSS minification, etc.)
- Structured schema setup or advanced SEO configuration
- Ongoing monitoring or response to Jetpack Protect scans
- Manual configuration or fine-tuning of WP Rocket or Rank Math beyond default setup
- Plugin conflict resolution or troubleshooting beyond uptime recovery
2.4 Email Hosting Terms
- Email accounts are provided using IMAP (recommended) or POP3 protocols.
- The client is responsible for managing inbox size and clearing mail when needed.
- Quota adjustments must be requested through the support system at https://www.ybo.digital/support/.
- Excessive or unmanaged storage usage may lead to delivery failures or required upgrades.
2.5 Email Setup Support
- Clients are not granted access to the control panel or email configuration interfaces.
- Email account credentials and server settings are provided after account creation.
- Support for email setup is only provided via remote session using TeamViewer and is limited to Windows-based laptops and desktops.
- Support for mobile devices, Apple/macOS systems, and third-party email clients is not included.
- All remote setup support is billable and handled via the ticket system.
2.6 Security Responsibilities
- The client is responsible for maintaining secure passwords and protecting access credentials.
- YBO Digital is not liable for breaches or data loss caused by weak passwords, user error, or third-party compromise.
2.7 Backups
- Backups are performed daily and retained for 14 calendar days.
- Backup restoration is included unless abuse or unreasonable frequency is detected.
- Clients are responsible for notifying YBO Digital in the event a restore is required.
2.8 Uptime Monitoring and Response
- Uptime monitoring is provided.
- In the event of downtime due to server-side issues, YBO Digital will take all reasonable steps to restore service promptly.
2.9 Fair Use Policy
- Hosting resources are provisioned for typical small to medium business use.
- Clients exceeding fair usage thresholds in terms of storage, bandwidth, or CPU usage may be advised to upgrade to a higher-capacity hosting plan.
- YBO Digital reserves the right to restrict or throttle services if resource abuse is detected.
3. Website Maintenance
YBO Digital offers a structured monthly maintenance service designed to maintain the security, stability, and ongoing compatibility of WordPress-based websites. This service is offered as a monthly subscription and billed in accordance with the applicable maintenance tier outlined below.
3.1 Monthly Maintenance Fees
Maintenance fees are determined by the type and complexity of the website:
- Standard Website (non-WooCommerce): $16/month
- WooCommerce Website (up to 5 additional WooCommerce-specific plugins): $36/month
- WooCommerce Website (more than 5 additional WooCommerce-specific plugins): $50/month
The applicable rate is confirmed at the start of the engagement and reviewed periodically based on plugin count and site complexity.
3.2 Scope of Monthly Maintenance
The following services are included as part of the monthly maintenance agreement:
- PHP, WordPress Core, Theme & Plugin Updates
Regular updates to all core software components to reduce vulnerabilities and maintain compatibility. - Page Load Speed & Core Web Vitals Monitoring
Ongoing monitoring of website speed and loading performance, including basic configuration of tools used for optimization. - Uptime Monitoring & Response
Real-time alerts and corrective action taken if the site becomes inaccessible due to server or software issues. - SSL Certificate Monitoring
Automatic monitoring and renewal of SSL certificates to ensure uninterrupted HTTPS encryption. - Malware Scanning
Periodic scans for potential malware, malicious scripts, or known threat signatures. - Vulnerability Audits
Identification and review of known vulnerabilities in plugins, themes, or WordPress core versions.
These services are performed proactively. No prior approval is required for actions within the scope defined above.
The maintenance plan does not include custom development, plugin conflict resolution, advanced speed optimization, or content-related changes. These are billed separately via support ticket or retainer.
3.3 Reporting
A formal maintenance report is issued on the 1st of each calendar month and provides transparency into technical work performed, website health, and outstanding items. The report includes:
- Update Log: Summary of all core, theme, and plugin updates performed during the prior month, including version details and update dates.
- Security & Vulnerability Status: Notification of any flagged issues from security scans and confirmation of mitigation steps taken.
- Uptime Monitoring Summary: Performance data indicating any periods of downtime and resolution time.
- Page Speed & Performance Metrics: Overview of speed scores and recommendations based on scan results from tools such as WP Rocket (where installed).
- SSL Status: Confirmation of active SSL coverage and certificate expiry dates.
- Malware Scan Results: Findings from malware and threat detection scans, including any remedial actions taken.
- Maintenance Activity Log: A timeline of all administrative, technical, or corrective actions performed during the period.
3.4 Reporting Consultations
Requests to review the maintenance report via meeting or call are welcomed, but are not included in the standard monthly maintenance fee. Such sessions will be billed at our prevailing hourly consultation rate, unless otherwise agreed in writing.
4. Ticket-Based Support System
Requests that fall outside the scope of the monthly maintenance plan are handled through YBO Digital’s support ticket system. These include, but are not limited to:
- Content updates
- Design modifications
- Feature enhancements
- Plugin installation, research, or configuration
- Troubleshooting plugin conflicts or performance issues
- Custom functionality development
4.1 Billing and rates
- All support requests submitted via the ticket system are billed in 15-minute increments.
- A minimum charge of $10 (i.e., one 15-minute increment) applies per ticket, regardless of complexity or final outcome.
- Work is time-tracked and invoiced transparently.
- Billing rates vary depending on the nature of the request and associated service category, as follows:
- General Website Support: $40/hour
- SEO-Related Tasks: $50/hour
- Custom Functionality or Plugin Development: $50/hour
- Content Updates and Design Adjustments (non-maintenance): $40/hour
- In the absence of a pre-agreed rate, the applicable default rate for the service type will apply, based on the nature of the request as logged in the support system.
- Where uncertainty exists regarding the category or applicable rate, clients are encouraged to request a quote before work commences. Otherwise, billing will proceed based on the assigned category.
4.2 Ticket Submission Terms
- When submitting a support request, the client must acknowledge acceptance of YBO Digital’s Terms and Conditions via a mandatory checkbox.
- The client may also optionally request a quotation before work commences by selecting the “Quote Request” checkbox within the ticket form.
- If no quote is requested, the ticket will proceed under the standard time-based billing model described in 4.1.
- To ensure clarity, efficiency, and accurate billing, each ticket must relate to a single support request or issue. If the client submits an unrelated follow-up request within an existing ticket, that new request will be separated and logged as a new ticket. This ensures appropriate tracking, accountability, and fair billing. Clients are encouraged to submit distinct tickets for unrelated items.
4.3 Quotation Requests
- Where a quotation is requested, YBO Digital will provide either a time estimate or a fixed-price quote based on the scope of the work described.
- The ticket will only be actioned once the client has confirmed acceptance of the quote in writing or via ticket response.
- Any work undertaken outside the scope of the accepted quote will be treated as a new request and billed accordingly.
4.4 Response Times and Scheduling
- Standard support tickets are reviewed and responded to within 1–3 business days, depending on the nature and complexity of the request and current support load.
- Requests marked as urgent by the client will be prioritised where possible and may be subject to a priority surcharge, which will be disclosed prior to action.
By using YBO Digital’s support ticket system, the client acknowledges and accepts the above billing structure and service parameters. If there is uncertainty about whether a request falls under the scope of the active maintenance plan, clients are encouraged to note this in their ticket — clarification will be provided before any work begins.
5. Search Engine Optimization (SEO)
YBO Digital offers a structured SEO service framework designed to accommodate a variety of business requirements and budget levels. Services are delivered through tiered monitoring packages, with optional hourly retainers for technical and content-related work.
5.1 SEO Monitoring Packages
(a) Basic Monitoring – $16/month
This entry-level service is designed for clients who wish to observe their website’s SEO performance without any active intervention or optimisation. It includes:
- Setup and ongoing integration of Google Analytics (traffic, behavior, conversions)
- Integration of Google Search Console (coverage issues, indexing, search performance)
No technical fixes, content optimisation, or plugin enhancements are included in this tier.
(b) Full Monitoring & Technical SEO Suite – $40/month
This package includes everything in the Basic tier, plus a broader set of tools used to identify technical and structural SEO issues. Features include:
- Rank Math (pro version): On-page optimisation, redirections, schema, automated sitemaps
- WP Rocket: Caching and speed optimisation for Core Web Vitals (default configuration)
- WebCEO suite integration:
- Technical site audits (broken links, crawl depth, slow-loading pages, etc.)
- Keyword ranking and tracking
- Competitor benchmarking
- Backlink audit and toxic link flagging
- Content scoring, audit, and readability suggestions
- Comprehensive crawl diagnostics
This plan is intended for diagnostic purposes and reporting. Execution of optimisation recommendations is handled via billable retainer hours.
5.2 SEO Retainer Hours
Clients on either plan may purchase SEO retainer hours for implementation work and strategic development.
Billing Rate: $50/hour, tracked in 15-minute increments.
Retainer hours may be allocated to the following tasks:
(a) Technical Optimisation
- Core Web Vitals and page load speed enhancements
- Issue resolution based on WebCEO or Rank Math alerts
- Redirects, schema adjustments, and mobile display fixes
(b) Content Optimisation
- Updating or improving existing on-site content
- Application of recommendations from content audits or usability reviews
- Keyword-optimised copywriting for new pages, blog content, or landing pages
(c) Keyword & Competitor Strategy
- Keyword discovery and repositioning
- Competitor SEO audits (keyword gap analysis, backlink strength, content performance)
(d) Backlink Analysis & Management
- Disavowing toxic links and backlink pruning
- Outreach strategy planning for new inbound link opportunities
All time is recorded, summarised in the monthly report, and billed accordingly.
5.3 Google Business Profile Custody
Where requested, YBO Digital may manage custody of a client’s Google Business Profile under our agency account for ease of SEO management and performance tracking.
Custody Fee: $20/month
Profile optimisation, content updates, and review response are not included unless otherwise scoped and billed under SEO retainer hours.
5.4 Reporting
A monthly SEO report is delivered to the client by email and includes:
- Website traffic analysis (sessions, bounce rate, duration)
- Keyword rankings and movement trends
- Backlink profile (new, lost, toxic)
- Crawl and index coverage updates
- Core Web Vitals and page speed insights
- Technical site health summary
- Summary of SEO work completed in the previous period
- Planned next steps with estimated time allocations
Reports are written in non-technical language where appropriate and are intended to provide actionable insights.
5.5 Consultation and Support
- One monthly report is included per plan.
- Requests for meetings, workshops, or consultation calls are not included in monitoring fees and will be billed at the standard SEO retainer rate of $50/hour, unless otherwise agreed.
- Requests for strategic planning or content alignment may be scheduled through consultation sessions and billed accordingly.
6. Digital Advertising
YBO Digital provides paid media campaign services focused on the Google Ads platform. These services are structured to support lead generation, ecommerce sales, and brand awareness through targeted advertising. Campaigns are managed under separate categories, with clearly defined setup fees and monthly management charges.
6.1 Campaign Types and Fees
(a) Google Search Campaigns
- Initial Setup Fee: $100 per campaign (once-off)
- Monthly Management Fee: $35 per campaign
Includes:
- Keyword research and targeting strategy
- Campaign configuration (Search and/or Performance Max)
- Ad copywriting and asset integration
- Budget alignment, device targeting, and location targeting
- Basic conversion tracking setup (where applicable)
(b) Google Merchant Campaigns (Product Feed Advertising)
- Initial Setup Fee: $100 per campaign (includes product feed setup/sync)
- Monthly Management Fee: $35 per campaign
Includes:
- Merchant Center integration
- Shopping feed verification and syncing (via WooCommerce or feed generator)
- Ad group structuring and product-level performance monitoring
(c) Google Business Profile (Local Campaigns)
- Initial Setup Fee: $50 (once-off)
- Monthly Management Fee: $35
Includes:
- Local campaign setup linked to Google Business Profile
- Radius targeting and location extension integration
- Basic local ad asset creation and reporting
6.2 Scope of Services
Each campaign (Search, Merchant, or Local) includes:
- Initial Setup
- Campaign type selection and targeting framework
- Creative and copy preparation (based on available assets)
- Conversion tracking installation and testing
- Ongoing Campaign Management
- Bid and budget adjustments
- Keyword refinement and negative keyword pruning
- A/B ad testing and campaign structure optimization
- Shopping feed optimization (for Merchant campaigns)
- Monitoring and quality score improvements
- Reporting
- Monthly campaign report including impressions, clicks, conversions, CTR, CPC, and ROAS
- Commentary on adjustments and recommendations for ongoing improvement
Campaigns are monitored and optimized monthly. Any major strategic revisions (new creative direction, landing page creation, or platform expansion) are quoted and billed separately.
6.3 Client Responsibilities
The client agrees to:
- Set campaign objectives clearly (e.g., lead generation, sales, visibility)
- Approve media budgets and major campaign changes
- Grant access to Google Ads, Google Analytics, Google Merchant Center, or other linked properties
- Ensure that the destination website and/or product feed is functional and compliant
- Provide access to sales or CRM data if conversions are measured outside the site
YBO Digital is not responsible for underperformance caused by inadequate access, non-functional websites, rejected ads due to policy violations, or missing tracking data.
6.4 Payment Terms
- Monthly Management Fees are billed in advance based on the number and type of campaigns active during the billing cycle.
- Setup Fees are once-off charges, billed at the start of campaign activation.
- Advertising Spend is paid directly to Google (or other platforms) via the client’s billing account. YBO Digital does not handle or markup media spend.
- Creative Services (such as display ad design, landing page development, or video production) are quoted separately unless otherwise agreed.
6.5 Disclaimer on Campaign Performance
YBO Digital applies industry best practices to campaign setup and ongoing optimization. However, paid advertising results are affected by numerous external variables including competition, market trends, seasonality, and platform algorithm changes. As such, no guarantees are offered regarding the volume or value of leads, clicks, or conversions.
Performance data is reported transparently, and recommendations are made on an ongoing basis to improve return on ad spend and overall campaign performance.
7. Social Media Marketing
YBO Digital offers social media marketing services designed to maintain a consistent online presence, drive engagement, and support lead generation across selected platforms, including Facebook and LinkedIn. Services are billed according to the selected package and the volume of content and advertising required.
7.1 Standard Admin Access
Where YBO Digital is required to act as a page administrator, a monthly account access fee of $12 per platform is applicable. This covers administrative access, account connection, and platform-level coordination on the client’s behalf.
Admin fees do not include any content creation, ad setup, or engagement work.
7.2 Billable Content and Advertising Items
Clients may purchase social media services on a per-item basis:
- Standard Post Creation: $25 per post
Includes copywriting, basic graphic design, hashtag research, and scheduling. - Ad Creation: $25 per ad
Includes single-image or carousel ad setup, copywriting, and platform submission. - Ad Boosting Management: $10 per boost
Refers to managing a platform-sponsored post boost (does not include ad spend).
All figures exclude the cost of advertising. Where YBO Digital pays the media spend on behalf of the client, a 7.5% markup is applied to cover transaction costs. Alternatively, the client may link their payment method directly to the advertising account to avoid this surcharge.
Customised packages for regular content calendars, combined services, or platform expansions are available upon request and will be quoted separately.
7.3 Scope of Services
The following services may be included depending on the agreed service level:
(a) Content Strategy and Planning
- Creation of content calendars (monthly or bi-weekly)
- Coordination with brand objectives and seasonal campaigns
- Theme development for educational, promotional, or engagement content
(b) Content Creation and Scheduling
- Caption writing and content formatting
- Design of image-based posts using brand assets or licensed materials
- Platform-specific formatting for posts (static, carousel, story, etc.)
- Post scheduling using platform-native or authorised scheduling tools
(c) Community Management (if scoped)
- Monitoring of comments and inbox messages during business hours
- Flagging and escalation of priority messages
- Basic responses where permitted by the client
(d) Platform Optimization
- Profile and bio updates
- Story highlight curation (where applicable)
- Link tools and cross-platform integration (as agreed)
7.4 Reporting
A monthly report will be delivered summarising:
- Post reach, impressions, and engagement metrics
- Follower growth and audience trends
- Performance of boosted or paid content (where applicable)
- Recommendations for future content or platform adjustments
7.5 Optional Add-Ons (Quoted Separately)
- Paid ad campaign management (for lead generation or conversions)
- Influencer collaboration setup
- Contests or giveaway management
- Short-form video production
- Lead form integration (e.g., Facebook lead ads, Messenger bots)
7.6 Client Responsibilities
The client is responsible for:
- Granting admin or business manager access to required platforms
- Providing timely access to logos, brand guidelines, and campaign information
- Approving post drafts or proposed calendars within 2–3 business days
- Communicating any changes to product offerings, promotions, or brand positioning
YBO Digital is not responsible for delayed or inconsistent posting caused by late approvals or missing content.
7.7 Payment Terms
- Admin access and recurring services are billed monthly in advance
- Posts, ads, and boosts are billed based on actual items delivered or scheduled
- Where advertising spend is paid by YBO Digital, it is subject to a 7.5% handling surcharge
- Ad hoc or one-time projects are quoted and billed separately
7.8 Content Ownership and Licensing
All original content created by YBO Digital becomes the property of the client once paid in full. Stock images, fonts, and other third-party licensed assets are governed by their respective licensing terms and may not be repurposed or redistributed outside of the context of the created social media content.
8. Premium WordPress Features & Functionality
YBO Digital offers custom integration and development services for WordPress websites requiring enhanced or non-standard functionality. These services include sourcing of third-party tools, installation, configuration, light customisation, and—in cases where no suitable tool exists—custom development.
8.1 Billing and Rates
- All time is billed at a rate of $50 per hour, tracked in 15-minute increments.
- For off-the-shelf (third-party) premium plugins or applications, a 10% markup is applied to the license or purchase cost to cover transaction and administrative overheads.
- Custom development projects are scoped and quoted in advance where possible, and billed either on a fixed-price or time-based basis depending on complexity.
8.2 Scope of Services
(a) Sourcing and Implementing Third-Party Solutions
- YBO Digital will research and recommend third-party plugins or SaaS integrations where appropriate.
- Preference is given to:
- Actively maintained and well-supported plugins
- Tools with strong reputations for security and code quality
- Solutions compatible with your existing WordPress configuration
- All shortlisted solutions undergo a feasibility check and version review prior to implementation.
(b) Installation and Configuration
- Selected functionality is installed, configured, and tested in the production or staging environment.
- Configuration includes adjusting general settings, aligning styling where supported, and integrating the tool into existing user flows.
(c) Customisation (Light to Moderate)
- Where required, light customisation may be applied to improve user experience or visual integration with your theme. This may include:
- Template overrides
- Basic CSS styling
- Shortcodes or conditional logic
- Use of available plugin hooks or filters
Significant reengineering or feature changes are not included unless part of a quoted custom development agreement.
(d) In-House Custom Development
- If no appropriate plugin exists or the available options are unsuitable due to performance, security, or functionality concerns, YBO Digital may recommend in-house development.
- Custom builds are used only as a last resort and will be subject to feasibility, resourcing, and budget approval.
- All custom development is scoped and quoted separately and will include defined deliverables and timelines.
8.3 Research and Feasibility Analysis
- YBO Digital invests time in identifying the best-fit solution for each request. This includes:
- Plugin research and documentation review
- Compatibility testing
- Evaluation of support history and changelog
- Preliminary performance checks in a staging environment (if applicable)
Please note: Time spent on research is billable, even if a suitable solution is not found. This policy is intended to ensure transparency in cases where extended investigation is required to satisfy complex or niche functionality requests.
8.4 Client Responsibilities
- Clients must provide full and timely access to the website, WordPress admin, hosting panel, FTP, or other relevant systems as requested.
- Clients must clearly define the intended functionality and, where possible, provide examples, user workflows, or desired outputs.
- Approval must be provided in writing prior to the purchase or installation of any third-party plugins that involve licensing or subscription costs.
8.5 Payment Terms
- Work is billed on completion or at milestones, unless otherwise quoted or scheduled in advance.
- Licensing fees for third-party software (including the 10% markup) are invoiced prior to installation.
- Ongoing support for implemented functionality is not included unless the client is on a maintenance plan or separate retainer.
- Requests for further enhancements or compatibility fixes beyond the initial implementation will be treated as new tickets and billed accordingly.
9. General Terms
These General Terms apply to all services provided by YBO Digital, regardless of project type, billing arrangement, or engagement model. By engaging our services, the client acknowledges and agrees to these Terms, in addition to any project-specific agreements or written proposals.
9.1 Applicability
- These Terms & Conditions apply to all services offered by YBO Digital, including but not limited to: website design and development, hosting, maintenance, SEO, digital advertising, functionality integration, and consulting.
- Any service-specific terms outlined in an individual proposal, estimate, or scope of work are deemed to form part of the contract and are to be read in conjunction with these General Terms.
9.2 Privacy & Data Handling
- All services are subject to YBO Digital’s Privacy Policy, which governs the collection, storage, and use of personal or business data.
- All client-provided data (including login credentials, business information, and marketing materials) is treated as confidential and used solely for the purposes of delivering the agreed services.
- While YBO Digital implements security best practices, we are not liable for breaches resulting from third-party systems, client-side negligence, or external compromise of credentials.
9.3 Intellectual Property
- Unless explicitly agreed otherwise, all intellectual property created by YBO Digital—including but not limited to code, designs, strategy documents, and written content—remains the property of YBO Digital until full payment has been received.
- Upon full payment, the client receives a non-exclusive, non-transferable license to use the delivered work for its intended business purpose.
- Any third-party materials used (e.g., stock images, fonts, plugins, frameworks) remain subject to the licensing terms of the original provider and may not be redistributed or reused beyond their intended use.
9.4 Confidentiality
- YBO Digital may request that a Confidentiality Agreement (NDA) be signed prior to the commencement of sensitive projects.
- All proprietary, technical, or business-related information disclosed by either party is treated as confidential and will not be shared with third parties, except where required by law or expressly permitted in writing.
9.5 Amendments to Services or Scope
- Any amendments to project scope, deliverables, milestones, or budgets must be confirmed in writing. Accepted formats include: email confirmation, support ticket, updated proposal, or formal change request.
- Additional work not covered in the original agreement will be scoped and billed at YBO Digital’s prevailing hourly or project rate, subject to availability.
9.6 Limitation of Liability
- YBO Digital will exercise reasonable care and apply industry-standard practices in all services rendered.
- However, we shall not be liable for indirect, incidental, or consequential damages, including but not limited to: lost profits, data loss, reputational harm, or business interruption.
- Our maximum liability under any individual engagement is limited to the total amount paid by the client for services rendered in the three (3) months preceding the claim.
9.7 Communication & Approvals
- All official project communication must be submitted through an approved channel: email, support ticket system, or scheduled meeting.
- Timely client feedback and approvals are essential to ensure project delivery remains on schedule. YBO Digital will not be held responsible for delays caused by client unresponsiveness or delayed decision-making.
9.8 Right to Refuse or Terminate Services
YBO Digital reserves the right to decline or discontinue services at its discretion in the event that:
- The requested work is illegal, unethical, or in violation of platform or industry standards;
- The client is in breach of contractual, communication, or payment obligations;
- Continuing the engagement would pose a reputational, operational, or legal risk.
Where services are terminated by YBO Digital under these conditions, any unused pre-paid time may be refunded at our discretion, less any work already completed or costs incurred.
9.9 Updates to Terms
- YBO Digital reserves the right to amend these Terms & Conditions at any time.
- Clients will be notified of any material updates via email or notice on our website.
- Continued use of our services after such notice shall constitute acceptance of the updated Terms.
